Welcome to Design Library by Megan. These Terms and Conditions govern the client’s relationship with Design Library regarding the services provided by us, including digital marketing, image & video content creation, and related services.

By engaging with our Services, you agree to abide by these Terms and Conditions.

1. Scope of Services

  • We will provide the Services outlined in the specific package or service agreement signed by both parties. Services may include, but are not limited to, digital advertising, image & video content creation, social media management, and portrait drawings.

  • Any additional services requested by the client not included in the initial agreement may be subject to additional charges.

2. Client Obligations

  • Access and Cooperation: You agree to provide access to all necessary accounts, platforms, or information required for us to deliver the Services. This may include access to your social media accounts, website, and analytics tools.

  • Content Approval: You are responsible for reviewing and approving all content produced by us. Failure to provide timely feedback or approvals may affect project timelines.

  • Compliance: You confirm that any materials or information you provide to us for use in your marketing campaigns are accurate and do not infringe on any third-party rights or violate any laws or regulations.

3. Fees and Payment Terms

  • Payment: You agree to pay all fees associated with the Services as outlined in the agreement. Payment terms are typically [state terms, e.g., 50% upfront, remaining 50% upon completion].

  • Late Payments: Late payments may be subject to a late fee of [percentage]% per month. We reserve the right to suspend Services until payment is received.

5. Confidentiality

  • Both parties agree to keep confidential any proprietary information shared during the course of our relationship. Confidential information shall not include information that is publicly available or independently developed.

6. Termination and Cancellation

  • Termination by Client: You may terminate the agreement with 60 days’ written notice. Any work completed up to the date of termination will be billed.

  • Termination by Us: We reserve the right to terminate the agreement if there is a breach of these Terms and Conditions or for non-payment of fees.

  • Effect of Termination: Upon termination, all access to accounts provided by you shall be removed. Any remaining deliverables will be provided upon settlement of outstanding balances.

7. Limitation of Liability

  • We are not liable for any indirect, incidental, or consequential damages arising out of or related to our Services, including loss of profits, data, or business opportunities.

  • Our liability for direct damages is limited to the amount paid by you for the Services in the six months preceding the incident giving rise to the liability.

8. Disclaimers

  • We do not guarantee specific results, such as a certain level of engagement, traffic, or sales, as results depend on multiple factors beyond our control.

  • Any forecasted results are estimates and not guarantees.

9. Changes to Terms

  • We reserve the right to update or modify these Terms and Conditions at any time. We will notify clients of significant changes, and continued use of our Services constitutes acceptance of the updated terms.

10. Governing Law and Dispute Resolution

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom (UK).

  • Any disputes arising from these Terms will be resolved through negotiation or, if necessary, binding arbitration in the United Kingdom (UK).

11. Entire Agreement

  • These Terms and Conditions, together with any service agreement or statement of work, constitute the entire agreement between you and Design Library and supersede any prior or contemporaneous agreements.
